In-House Legal Counsel

The incumbent will be responsible for providing legal advice across all aspects of commercial, operational, and regulatory matters.
Duties and Responsibilities:
- Review, draft, and negotiate commercial contracts, shareholding agreements, banking facilities agreements, directors’ resolutions, and other legal documentation as required.
- Provide legal support for mergers and acquisitions, including due diligence, negotiation, and documentation processes.
- Support commercial and enabling functions within the organization, including the Commercial & Investment Teams, HR, Finance, Operations, and other relevant departments.
- Manage corporate governance matters and changes to corporate entities within APAC and other regions as required.
- Advise on changes to legislation, licensing conditions, and industry frameworks in coordination with the compliance team to ensure compliance standards are met.
- Provide legal support on the following areas:
- Client and vendor commercial negotiations
- Labour and employment matters
- Intellectual property claims and disputes
- Privacy protection issues and personal data protection requirements
- Internal risk management and compliance with internal guidelines and external laws
- Documentation and compliance-related requirements for the Charity Foundation
- Maintain a high level of confidentiality to preserve and protect the interests of the company.
Professional Job Requirements:
- A law degree from a recognized university.
- Admitted to the Singapore Bar and of good standing.
- Ideally familiar with local regulations pertaining to the property industry, with a strong understanding of corporate governance principles and Singapore’s best practices.
- At least 7 years PQE with demonstrated experience in mergers and acquisitions, corporate law, and commercial legal advisory.
- Excellent problem-solving skills with the ability to quickly identify issues and collaborate with stakeholders to provide effective solutions.
- Strong communication and presentation skills with the ability to draft legal advice and opinions clearly and concisely.
- Autonomous, able to multi-task, prioritize, and perform under pressure.
- Resourceful and adept at legal research with the ability to learn quickly.
- Resilient, adaptable, and meticulous with a strong attention to detail.

Pay: $9,000.00 - $13,000.00 per month
