Purpose and Scope
We are seeking a seasoned, highly motivated, driven and business-astute individual to join our team in Singapore as the Vice President, Legal & Compliance with our Gas & Related Services line of business (“GRS LOB”).
This role is pivotal in supporting GRS LOB’s regional gas & energy transition related (solar, decarbonization, and low carbon solutions) portfolio spanning the provision of utilities, gas and related services, greenfield development in respect of power and gas related projects, and driving legal & compliance function relevant to support the business heads. The ideal candidate will bring deep legal expertise and familiarity within Singapore Jurong island related businesses including utilities provision, piped gas and LNG supply, service corridor and energy related infrastructure projects, with a pragmatic and agile mindset attuned to industry volatility, regulatory shifts and the ability to spearhead legal & compliance strategy across the GRS LOB.
This position reports to the Head of Legal & Compliance, Gas & Related Services. We are looking for a highly motivated, driven and experienced individual to join our team to provide legal and compliance advisory to the business units located in Singapore and Southeast Asia.
Key Roles and Responsibilities
- Partner business stakeholders and oversee delivery of legal and compliance services and resources to accomplish corporate goals, strategies, and priorities. Provide time-sensitive support on a wide array of legal and compliance inquiries in all operational aspect.
- Draft, review and negotiate with external counterparts on a variety of commercial agreements common within the energy and utilities industry including utilities services agreements, service corridor agreements, power purchase agreements, EPCs, LTSAs, and natural gas agreements (for both piped gas and LNG).
- Lead or support other projects and tasks as may be required from time to time.
- Serve as a trusted, calm and adaptable advisor who can operate in high pressure, fast-changing, complex environments with resilience and sound judgment.
- Monitor and advise on evolving regulatory frameworks where GRS LOB is situated, ensuring business practices remain compliant including establishing policies related to corporate ethics, anti-bribery, anti-corruption, and data privacy.
- Ensure adherence to corporate governance structures and best practices in line with Group policies and conduct regular legal risk assessments to proactively address compliance challenges.
- Spearhead legal aspects and considerations for resolving issues that arise in existing commercial relationships, and handling pre-litigation legal disputes to arrive at the optimal outcome for the Group.
- Bridge between GRS LOB, Group Legal and senior management for all management approvals and the lead for GRS LOB for managing regulatory risk and compliance risk and requirements including managing regulatory changes, proactively handle regulatory developments, implement and manage Group company policies, procedures and standards related to legal and compliance matters.
- Guide and lead a high-performing legal & compliance team.
Qualifications & Experience
- Possess a law degree with at least 14 years’ post qualification legal experience, including significant in-house experience in the power or infrastructure sectors.
- Deep familiarity with the utility provision and energy business, and the LNG/Gas markets, particularly within Singapore.
- Proven track record in handling cross-border transactions and negotiations.
- Strong understanding of the regional energy frameworks in ASEAN, of energy transition trends is an added advantage.
- Prior experience in advising on natural gas related contracts, project financing documentation and/or mergers & acquisitions would be an added advantage.
- Prior experience leading a team would be an added advantage.
- Agile, commercially-minded and collaborative, with a capacity to thrive amid change and ambiguity.
- Excellent stakeholder management, communication, and leadership skills.
- Admitted to the roll of solicitors of in the UK or called to the Singapore Bar.
