Job Title: Legal Director, Infrastructure

Role Overview

We are seeking a highly motivated and experienced legal professional to join our dynamic infrastructure business.

In this role, you will provide legal support across a wide range of fund and investment-related activities, including the structuring, formation, and ongoing management of infrastructure investment funds, as well as supporting the legal aspects of our investment transactions across Asia Pacific.

Your role will lead the legal workstreams collaborating closely with both internal stakeholders and external advisors, ensuring compliance with applicable laws and regulations, and facilitating the smooth execution of investment strategies.

Key Responsibilities

  • Fund-Related Legal Activities:
    • Assist in the formation and structuring of infrastructure investment funds, including drafting and negotiating fund formation documents (e.g., limited partnership agreements, private placement memoranda, subscription documents).
    • Provide ongoing legal support to fund management, including advising on investor relations, fund governance, compliance, and regulatory issues.
    • Work closely with internal stakeholders, such as the investment and finance teams, to ensure fund operations are legally compliant and efficient.
    • Advise on investor side agreements, co-investments, and secondary transactions.
  • Investment-Related Legal Activities:
    • Provide legal advice and guidance on all matters related to project development for infrastructure investments, including M&A, joint ventures, and project financings.
    • Negotiate and draft a wide range of transaction documents, such as share purchase agreements, asset purchase agreements, financing agreements, joint venture agreements, shareholders agreements, power purchase agreements, construction contracts, operations and maintenance agreements.
    • Coordinate with external counsel, advisors, and other stakeholders to ensure that transactions are structured and executed in compliance with relevant laws and regulations.
    • Provide practical, solution-oriented advice to the investment team, helping to navigate legal risks and challenges related to transactions and portfolio management.
  • Transaction and Project Support:
    • Lead the legal aspects of M&A transactions, including due diligence, structuring, and negotiations.
    • Provide legal support for greenfield project development, from land acquisition to permitting and financing.
    • Support corporate and project financing activities, ensuring compliance with lender requirements and investment structures.
    • Advise on corporate governance matters for joint ventures and subsidiaries.
    • Support post-M&A integration, ensuring smooth transition and alignment with company policies.
    • Collaborate with business, finance, and HR teams to integrate acquired entities and operations seamlessly.
  • Compliance and Risk Management:
    • Assist in managing compliance with local and international regulations affecting infrastructure investments across Asia Pacific.
    • Support the implementation of policies and procedures related to legal risk management within the team.
    • Monitor regulatory changes and advise the team on their impact on ongoing and future investments across Asia Pacific.
  • General Legal Support:
    • Provide general corporate legal support to the business as needed, including contract review, corporate governance, and day-to-day operational legal matters.
    • Maintain complete and accurate files and document management processes on all legal-related activities.
    • Assist in managing disputes or litigation involving the firm's investments or operations.


Requirements

  • Qualified lawyer (admitted to practice law in Singapore).
  • 5-8 years of post-qualification experience, with significant exposure to infrastructure investment funds, private equity, or real estate investment.
  • Strong experience in drafting, negotiating, and advising on fund formation documents, investment agreements, and transaction-related documents.
  • Experience in infrastructure transactions, project finance, joint ventures, M&A and cross-border investments.
  • Exceptional analytical, drafting, and communication skills, with the ability to communicate complex legal concepts in a clear, concise, and practical manner.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Strong commercial acumen and an understanding of the business and operational aspects of infrastructure investment management.
  • Ability to take the lead on coordinating transactions and driving them forward.
  • Exceptional organisational skills, accuracy and attention to detail.
  • Superior written and verbal communication skills.
  • Ability to prioritize and multitask complex and time-sensitive matters.
  • Broad experience across Asia Pacific will be looked upon favorably.
