This is what #LifeAtBNY is all about.We’re seeking a future team member for the role of Counsel to join our Investment Services Legal team supporting the Treasury Services/Trade Finance, Corporate Trust and Depositary Receipts lines of business. This role is based in Singapore reporting to the Associate General Counsel, Managing Director leading the team and will have a hybrid schedule.In this role, you’ll make an impact in the following ways:
  • Advise on all aspects of treasury services, trade finance, corporate trust and depositary receipts transactions, products, programs, platforms, processes and related matters
  • Negotiate and draft transactional agreements for BNY’s Treasury Services business – including those related to global banking terms for payments and liquidity services, and a broad range of traditional trade finance products such as letters of credit, trade loans and the discounting of instruments and documents
  • Negotiate and draft transactional agreements for BNY’s APAC Corporate Trust business – this includes a broad range of debt capital markets structures, structured finance, securitizations, loan and bond structures
  • Manage escalations from various business stakeholders internally and outside counsel on transactional and documentation issues
  • Assist on special, regional and global projects as required for the Treasury Services/Trade Finance, Corporate Trust and Depositary Receipts businesses
  • At times interact with senior management and relevant business stakeholders
  • Partner with control functions serving in an advisory or oversight capacity, such as Risk, Audit and Compliance
  • Manage outside counsel and advise on business, regulatory and legal developments
  • Collaborate with other Treasury Services, Corporate Trust and Depositary Receipts Legal Team members, as needed
  • Negotiate servicing outsourcing contracts
To be successful in this role, we’re seeking the following:
  • 7-8+ years’ of work experience across a broad range of transactions in debt capital markets, banking and finance (with a preference for corporate trust and/or trade finance transactions)
  • Experience in structured finance (securitizations and repacks) and supply chain finance, letters of credit, trade advances/loans and risk participations would be helpful
  • Qualified to practice in Australia, Singapore, Hong Kong, UK or US (additional bar admissions/qualifications a plus)
  • Cross-border transactional experience a plus
  • Functional spoken Mandarin or other language skills a plus
  • Ability to handle a diverse and demanding workload
  • Excellent negotiation, analytical, problem-solving, drafting and communications skills
  • Ability to function independently, but also to function as part of effective teams
