
Legal Counsel
We are a global semiconductor R&D company with operations in Singapore, China, and the United States, We are seeking a highly skilled and experienced Legal Counsel to join our team. The ideal candidate will possess a deep understanding of legal frameworks in the United States, China, and Singapore and have experience managing corporate legal matters within a multinational environment. Proficiency in both spoken and written Chinese is essential, as the role requires regular communication with Chinese-speaking shareholders.
Key Responsibilities:
- Legal Compliance: Ensure adherence to relevant laws, regulations, and industry standards across multiple jurisdictions, including the U.S., China, and Singapore.
- Corporate Governance & Equity Management: Oversee corporate governance practices and manage equity-related matters, including stock options and share management.
- Contract Management: Review, draft, and negotiate contracts to protect the company’s interests, ensuring legal compliance and minimizing risks.
- Intellectual Property Management: Safeguard the company’s intellectual property rights, ensuring proper protection, registration, and enforcement in key markets.
- Legal Dispute Resolution: Manage and resolve legal disputes, working with external legal teams and stakeholders to ensure optimal outcomes.
- Stakeholder Communication: Effectively communicate with internal and external stakeholders, including shareholders, legal teams, and regulatory bodies.
- Risk Management: Identify and mitigate legal risks in the company's operations, providing strategic guidance on risk reduction.
- Import & Export Legalities: Manage the legal aspects of international trade, including import and export regulations between the U.S., China, and Singapore.
Qualifications:
- Bachelor’s degree in Law (LLB) or equivalent; a Master’s degree (LLM) or additional certifications in corporate law, IP law, or international law is a plus (Bar Admission: Must be admitted to practice law in at least one jurisdiction (U.S., Singapore, or China). Admission to multiple bars is an advantage.)
Experience:
- Minimum of 5-7 years of relevant legal experience, particularly in a multinational environment.
- Proven experience in corporate law, legal compliance, intellectual property, contract management, and dispute resolution.
- Experience working in industries such as semiconductors, technology, or research and development (R&D) is highly preferred.
- Language Proficiency: Fluency in English and Chinese (Mandarin), both written and spoken, is required for regular communication with
- Chinese-speaking shareholders and stakeholders.
Skills:
- Excellent legal drafting, negotiation, and communication skills.
- Proven ability to manage complex legal matters across different jurisdictions and cultures.
- Strong business acumen, with the ability to provide strategic legal advice to senior management.
