Key Responsibilities:
Financial Strategy & Corporate Finance:
- Develop and execute financial strategies to support GCL’s growth as a publicly listed entity.
- Lead capital allocation, financial planning, and strategic investments to maximize shareholder value.
- Manage liquidity, debt financing, and capital structure optimization.
Post-Listing Compliance & Financial Reporting:
- Oversee financial reporting in line with NASDAQ and SEC regulatory requirements.
- Ensure timely and accurate quarterly and annual financial statements (10-Q, 10-K) and SEC filings.
- Maintain compliance with Sarbanes-Oxley (SOX) requirements and internal financial controls.

Mergers & Acquisitions (M&A) & Strategic Growth:
- Drive M&A strategy, including due diligence, valuation, and post-merger integration.
- Identify investment opportunities that align with GCL’s long-term growth plans.
- Work with the Board and senior leadership to execute strategic initiatives.
Audit, Risk Management, Taxation & Corporate Governance:
- Oversee internal controls, financial risk management, and regulatory compliance.
- Ensure adherence to PCAOB (Public Company Accounting Oversight Board) standards and global financial reporting guidelines.
- Lead the global tax compliance framework, ensuring adherence to transfer pricing regulations and cross-border tax laws.
- Work closely with the Audit Committee and Board of Directors on financial strategy, risk mitigation, and governance.
Board & Stakeholder Engagement:
- Provide strategic financial insights to the Board, CEO, and senior leadership.
- Lead corporate governance initiatives to ensure financial transparency and accountability.
- Prepare and present board reports on financial performance, risk management, and strategic planning.
Team Leadership & Financial Oversight:
- Lead and develop the finance team, ensuring best practices in corporate financial management.
- Foster a high-performance culture with a focus on transparency, compliance, and strategic execution.
Qualifications:
- Bachelor’s degree in Finance, Accounting, or a related field; MBA, CPA, or CFA preferred.
- Minimum 10 years of senior finance experience, preferably in a public company or capital markets environment.
- Strong expertise in SEC reporting, SOX compliance, and US GAAP/IFRS accounting standards.
- Proven experience in investor relations, financial strategy, and capital market transactions.
- Background in M&A, financial modeling, and risk management.
- Exceptional leadership and communication skills, with experience in board-level reporting and stakeholder engagement.
