Purpose & Scope
The General Counsel, Renewables East, is responsible for overseeing all legal functions in these regions. This role plays a critical part in managing legal risks, supporting business expansion, ensuring regulatory compliance, and leading legal strategy across jurisdictions. The General Counsel will work closely with business leaders and the Group General Counsel to align legal policies and frameworks with corporate objectives.
Key Roles and Responsibilities
Legal & Compliance Leadership
- Provide strategic legal guidance and oversight on all matters related to project development, M&A, joint ventures, commercial transactions, and corporate governance.
- Ensure legal compliance across multiple jurisdictions, covering parts of Asia and China, including existing and new markets.
- Develop and implement legal risk management frameworks to support the company’s rapid expansion.
- Ensure adherence to corporate governance structures and best practices in line with Group policies.
- Provide leadership and mentorship to the Head of Legal, in the Line of Business.
M&A and Business Expansion
- Lead and oversee legal aspects of M&A transactions, including due diligence, structuring, negotiations, and execution.
- Support integration efforts post-acquisition, ensuring legal and regulatory alignment across new business entities.
- Work closely with finance, operations, and HR teams to support cross-border transactions and operational synergies.
- Address potential legal disputes and legacy issues from acquired companies.
Regulatory & Compliance Management
- Monitor and advise on evolving regulatory frameworks in parts of Asia and China, ensuring business practices remain compliant.
- Engage with external counsel and regulatory authorities to manage complex legal matters.
- Establish and oversee policies related to corporate ethics, anti-bribery, anti-corruption, and data privacy.
- Conduct regular legal risk assessments to proactively address compliance challenges.
Stakeholder Management & Business Partnering
- Serve as a trusted legal advisor to regional leadership teams and business unit heads.
- Act as the key legal liaison between the Group Legal team and regional legal teams.
- Represent the company in high-stakes legal negotiations and regulatory discussions.
- Manage relationships with external legal advisors and regulatory bodies
Team & Capability Development
- Provide leadership and mentorship to in-house legal teams across the regions.
- Develop best practices, training programs, and knowledge-sharing initiatives for legal professionals.
- Strengthen legal operations and streamline processes to enhance efficiency and alignment with business needs.
Qualifications, Skills & Experience
- Law degree from a recognized university and admission to a relevant bar association.
- Minimum 20 years of experience in corporate law, with a focus on project development, M&A, and regulatory compliance.
- Experience in MNC or a partner at a law firm with extensive experience in M&A transactions.
- Strong experience in the renewable energy, infrastructure, or power sector is preferred.
- Proven track record in handling complex cross-border transactions and negotiations.
- Familiarity with legal frameworks across multiple jurisdictions in Asia.
- Strong business acumen and ability to work in a fast-growing, entrepreneurial environment.
- Excellent stakeholder management, communication, and leadership skills.
