Reporting to the Company Secretary and Head of Corporate Affairs, the successful candidate will be responsible for the following:

Compliance Management

  • Ensuring compliance with Singapore Companies Act, Singapore Stock Exchange (SGX) rules, Hong Kong Stock Exchange (HKEX) rules and other regulatory requirements in other jurisdictions where company subsidiaries are incorporated.
  • Monitoring, interpreting, and implementing updates to regulatory requirements, ensuring timely communication and execution of changes.

Board and Management Support

  • Assisting the Company Secretary to prepare materials for board and management approvals, shareholder meetings, and other corporate events.
  • Overseeing the publication of SGX and HKEX announcements and circulars, ensuring accuracy and compliance.
  • Providing support for regulatory updates and other governance matters as required.

Subsidiary Management

  • Taking responsibility for subsidiary governance, including preparing and coordinating subsidiary board approvals.
  • Overseeing the preparation and submission of regular reporting requirements for subsidiaries.

Corporate Governance Projects

  • Participating in projects aimed at enhancing corporate governance systems.

Documentation and Communication

  • Drafting, reviewing, and finalising various corporate documents, ensuring accuracy and attention to detail.
  • Collaborating with internal and external stakeholders to ensure smooth communication and processes.

Job Requirements:

  • As required under the Accounting and Corporate Regulatory Authority for the company secretarial role (candidates currently pursuing courses or examinations to obtain the required qualifications will also be considered).
  • Demonstrated experience as a company secretary or in corporate secretarial roles, preferably in SGX- or HKEX-listed companies.
  • Hands-on knowledge of corporate governance, board management, and regulatory compliance in a listed company environment is advantageous, with relevant experience in working with HKEX-listed companies being a significant advantage.
  • Exceptional drafting skills, with the ability to prepare clear and concise legal and corporate documentation.
  • Meticulous attention to detail, ensuring the accuracy and professionalism of all work products.
  • Strong organizational abilities to manage multiple, complex responsibilities and ensure timely delivery.
  • Proven experience in streamlining processes to improve efficiency and alignment with corporate goals.
  • Excellent interpersonal skills, with the confidence and ability to engage, influence, and build strong relationships with stakeholders across all levels of the organization.
  • Collaborative and proactive approach to problem-solving and team support.
  • High degree of integrity and discretion, with a strong commitment to maintaining confidentiality.
  • Positive attitude, resilience, and dedication to producing high-quality work in a fast-paced environment.
  • Proficiency in business Mandarin and written business Chinese is advantageous.
