We are currently seeking a Contracts Manager to join our growing team in the Asia/Pacific region, with experience in administration and supervision of commercial and international government tenders and contracts, distribution agreement and subcontracts of varying size and complexity. As a Contracts Manager, this position participates in the review of international government solicitations across the Asia/Pacific region, and our company proposals in response to and contracts awarded under such solicitations. This position also involves the preparation and negotiation of various other agreement types, including distribution agreements, authorized service provider agreements, letters of authorization and the like, all in accordance with company policies, procedures and guidance. The Contracts Manager also tracks, creates and maintains contract data requirements and obtains required approvals within an online contract management system. The candidate must have business skills/expertise in analysis of complex bid and proposal tenders, and the ability to interact with customers and to inform members of the company’s senior management regarding the status of projects and all contracting risks. The candidate will interact regularly with senior and executive management on matters concerning several functional areas, divisions, and/or customers and therefore must be able to write and communicate effectively.
Responsibilities:
  • Daily review and analysis of complex commercial and international government proposals and contracts.
  • Review of contractual documents and negotiation of terms and conditions in accordance with company policies and procedures. Analyze contractual requirements, including all contract terms and conditions, to ensure compliance with appropriate laws, regulations, and Company policies and procedures.
  • Support the Bids & Proposals team in providing contract analysis and review of solicitations, bids and tenders.
  • Ensure contract review, approval and execution in accordance with corporate policies and standard operating procedures.
  • Work with business stakeholders, functional counterparts, and customers to resolve contractual issues.
  • Provide expert support services to business units including, but not limited to, the application of contract clauses and regulations.
  • Communicate contract policy and practice to internal business teams.
  • Act as custodian of contractual and program records for assigned contracts.
  • Prepare and administer correspondence, negotiation memoranda, supporting documents, and contract documentation to ensure timely and coordinated submittal.
  • Interact daily with Senior and Executive Management, in-house Attorneys, Sales leads, Program Managers, and other operational representatives.
  • Handle confidential and non-routine information.
  • Review solicitations and requests for proposals, bids, and contract modifications. Activities include analysis of solicitation requirements, terms and conditions, payment terms, identification and mitigation of risks, and contract negotiation.

Qualifications:
  • Bachelor’s Degree, preferably in Business Administration or related field.
  • 5+ years of contract administration and contract management experience in a multi-national corporation, including a full range of commercial and international government contract types.
  • Must have experience in solicitation analysis, risk assessment, contract negotiation, and issue resolution.
  • Excellent communication and writing skills with both internal and external customers.
  • Thorough knowledge of all appropriate ethical standards regarding contracting actions.
  • Experience working with a product manufacturing company desired.
  • Strong demonstrated knowledge of commercial contract terms and conditions.
  • Must have the ability to make sound business judgments, handle multiple contractual activities with a short turn-around time, and work independently as well as part of a team.
  • Highly motivated and detail oriented with the ability to communicate effectively, solve problems and create trusting relationships with both internal and external clients in quick turn-around environment.
  • Ability to prioritize multiple tasks with competing urgencies.
  • Must be able to complete job responsibilities working with different time zone needs such as attending late night/early morning meetings by phone and/or web to meet business needs; travel required <5%.
  • Ability to speak and communicate in Hindi, Korean, Mandarin or Vietnamese would be considered favorably.
