Job Summary:

We are seeking an experienced and detail-oriented Corporate Secretary, Manager to join our team. The Corporate Secretary will play a critical role in ensuring corporate governance compliance, supporting the board of directors, and managing all statutory and regulatory filings. This role requires a strong understanding of corporate law and governance principles to maintain proper documentation, compliance, and legal requirements for the company.

Key Responsibilities:

  • Corporate Governance: Advise and assist the Board of Directors and senior management on corporate governance matters, ensuring compliance with all relevant regulations, laws, and best practices.
  • Board Support: Coordinate and organize Board meetings, prepare agendas, minutes, and resolutions, and ensure that all actions are accurately recorded and filed.
  • Compliance Management: Ensure that the company complies with all statutory and regulatory requirements, including the filing of annual returns, maintaining statutory registers, and updating corporate documents.
  • Corporate Filings: Handle all necessary corporate filings with government authorities, such as the Registrar of Companies, and manage the renewal of corporate licenses and permits.
  • Document Management: Maintain accurate corporate records, legal documentation, and statutory registers, including shareholder records, meeting minutes, and contracts.
  • Legal Support: Support the legal team in reviewing and preparing contracts, company agreements, and other legal documentation to ensure they align with corporate governance policies.

Qualifications:

  • Bachelor's degree in Law, Business Administration, or a related field. ICSA (Institute of Chartered Secretaries and Administrators) qualification or equivalent is highly preferred.
  • At least recent 5 years of experience in a LISTED or regulated environment.
  • Strong knowledge of corporate governance, compliance, and regulatory frameworks, with familiarity in local laws and international regulations.
  • Excellent written and verbal communication skills, with the ability to work effectively with senior executives and board members.
  • Strong organizational skills, with a keen attention to detail and the ability to manage multiple tasks simultaneously.
