Job Responsibilities:

  • Assist the CFO by offering comprehensive legal and compliance support, including establishing and managing corporate structures, ensuring adherence to regulatory and statutory requirements, and facilitating investments and returns distribution.
  • Offer regulatory guidance across all business operations and support venture investments, joint ventures, and strategic transactions.
  • Prepare meeting minutes, directors’ resolutions, and shareholders’ resolutions in compliance with statutory requirements, and maintain corporate records and registers.
  • Coordinate with external service providers (e.g., law firms, auditors) and handle statutory filings with ACRA and other government agencies.
  • Draft and review legal documents such as Term Sheets, MOUs, NDAs, contracts, and investment-related agreements (e.g., share subscription agreements, shareholders’ agreements, loan agreements).
  • Support renewable energy projects, corporate investments, and development projects in Southeast Asia by drafting and reviewing contracts.
  • Advise the board of directors and executive management on compliance, legal matters, and subsidiary management, and conduct due diligence on investment targets (e.g., reviewing financial statements, contracts, permits).
  • Recommend optimal investment structures to safeguard company interests and perform ad hoc secretarial tasks as needed.
  • Collaborate with Vista’s affiliates to ensure good governance and legal compliance, while providing “best practices” advice, training materials, and frameworks to the board of directors.

Job Requirements:

  • Hold an LLB, Juris Doctor, or equivalent degree, and be qualified to practice as a Corporate Lawyer in Singapore.
  • Ideally, possess 5-8 years of experience in a law firm, corporate secretarial service provider, or in-house legal team.
  • Prior experience in the construction and engineering sector, joint ventures, general corporate and secretarial work, and managing diverse portfolios across industries is preferred.
  • Strong understanding of general contract and commercial law, including the Singapore Companies Act, as well as regulatory and reporting requirements.
  • Exceptional legal and contract analysis skills with a keen attention to detail.
  • Excellent communication and interpersonal abilities.
  • Capable of thriving in a fast-paced, dynamic environment and meeting tight deadlines.
  • Able to work independently as a professional while also collaborating effectively as part of a team.
