Chief Legal Officer
The Chief Legal Officer is a key member of the executive leadership team. The CLO oversees all legal affairs and provides strategic legal guidance to the company, ensuring compliance with laws and regulations.
Description:
Serve as the primary legal advisor to the CEO, Board of Directors, and executive team on a wide range of legal matters, including corporate governance, mergers and acquisitions, litigation, regulatory compliance, risk management, and intellectual property protection.
Manage the in-house legal department and outside counsel, including setting legal strategy, allocating resources, and ensuring the delivery of high-quality and cost effective legal services.
Provide strategic leadership and oversight on major corporate transactions, such as mergers, acquisitions, divestitures, joint ventures, financings, and other significant business initiatives.
Ensure the company's compliance with applicable laws, regulations, and ethical standards across all business operations, implementing robust compliance programs and providing legal counsel to mitigate risks.
Collaborate with business units to identify and address legal issues proactively, advising on legal risks and opportunities associated with new products, services, and business strategies.
Represent the company in legal proceedings, lawsuits, and government investigations, managing external counsel and providing strategic direction.
Serve as a senior advisor to the Board of Directors and its committees on legal matters, attending board meetings and providing guidance on corporate governance and fiduciary responsibilities.
Stay abreast of legal and regulatory developments impacting the company's industry and operations, providing insights and recommendations to the executive team.
Lead the development and implementation of the company's legal policies, procedures, and best practices, fostering an ethical and compliance-focused culture.
Requirements:
Juris Doctor (J.D.) degree from an accredited law school and admission to the bar in the relevant jurisdiction(s).
Minimum of 10-15 years of progressively responsible experience in corporate legal practice, including significant experience managing legal teams and complex legal matters.
Exceptional legal knowledge, strategic thinking, and business acumen, with a deep understanding of the company's industry and regulatory environment.
Proven leadership skills, with the ability to manage and mentor legal professionals, build effective teams, and foster a collaborative working environment.
Excellent communication and interpersonal skills, with the ability to convey complex legal concepts to non-legal audiences and influence at the highest levels of the organization.
Strong analytical and problem-solving abilities, with the capacity to navigate ambiguity and make sound legal judgments.
High ethical standards and a commitment to promoting integrity, transparency, and compliance within the organization.
Ability to manage multiple priorities and work effectively under pressure in a fast paced, dynamic environment.
Proficiency in both spoken and written English and Mandarin.
