Job Summary:
In this role as Legal Counsel, Global Contracts, you will be responsible for providing support to our strategic customers including customers who purchase our hyperscale services globally. Your responsibilities will include support of pre-contract RFP through to final contract negotiations. This includes facilitating and owning certain processes that are essential to contract closure (e.g. obtaining approvals) and supporting business with our most strategic customers (STRAT-A) globally. You will be responsible for drafting and negotiating contracts, finding innovative ways to simplify our operating model, modernizing our tools and improving our processes, as well as advising on contractual issues and risk in alignment with our commercial, corporate and strategic objectives in a manner that supports the objectives for the global business. These contracts are highly complex and focus mainly on large footprint opportunities which require speed, business savviness and an appropriate level of governance as the customers are market leaders in their industry.
Responsibilities
Handling pre- and post- signing contract interaction with stakeholders and customers, non-standard language on Equinix template and customer template contracts and other Customer requests, to ensure that the contracts accurately reflect Equinix's position and are approved in a timely manner including where required working with the negotiation team.
Drafting, reviewing, and negotiating either alone or in support other senior legal counsels, highly complex customer contracts for our strategic customers purchasing and interacting with Equinix including for the hyperscale business and other Strategic customers / large footprint deals to ensure contracts properly protect Equinix, based on a pragmatic approach to risk.
Handling STRAT-A and global major customer accounts and liaising with colleagues globally. Handling customer negotiations which may be with counterparts in AMER, APAC and EMEA .
Responsible for managing the full deal cycle, including seeking approvals from relevant stakeholders, working with others on the wider Legal team and the business, and coordinating activities between various departments (e.g., sales, finance, tax, and insurance) and stakeholders.
Supporting corporate transactions requiring customer contract due diligence, customer contract disclosures, customer notifications, consents and/or additional contractual documentation.
Providing legal advice and responding to queries relating to customer contracts, including post-signature customer issues, liaising with various internal departments as well as prosecuting litigation and/or insurance claims if required.
Advising on legal rights, providing risk assessment and contract interpretation; working closely with and providing strategic guidance to the business. Providing ancillary advice for Sales on various issues including early contract termination, novation, price increases, renewals, amendments, customer rights, and ensuring changes are properly documented.
Conducting additional contract research and interpretation, providing guidance on day-to-day issues, including transactional and non-transactional matters.
Stakeholder management. Collaborating with other teams globally to coordinate for an overall consistent and efficient approach.
Functioning as part of the wider global Legal team, including engaging with other departments, providing input, undertaking any global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned.
Qualifications
Law degree from a recognized university.
3 to 6 years’ post qualification experience; preferably with experience in a law firm. Admission to practice in any commonwealth jurisdiction would be an advantage.
Experience in negotiating and drafting complex contracts.
Experience managing and organizing large deals/projects simultaneously under deadline pressure.
Exceptional attention to detail and discretion.
Ability to manage competing priorities on daily basis.
Agile, adaptable and able to pivot when necessary to keep up with customer or business objectives, with a solution-oriented mindset.
Ability to work globally and able to proficiently use technology tools.
Strong interpersonal skills with a focus on teamwork and ability to foster/manage relationships across multiple departments.
