Assistant Counsel (Legal)

Job Summary:

The Assistant Counsel is responsible for assisting the Legal Counsel in managing all legal issues related to the company, including negotiation of contractual terms, dispute resolution issues, administration of standard contract templates, staff training and occasional corporate secretarial duties.

Responsibilities:

Providing legal and administrative support to the Legal Counsel for the duties below:

Legal and contract management:

• Develop and maintain standard contract templates to support the business operations of the company
• Review and negotiate contractual clauses
• Review and comment on financing documents and accordingly liaise with Lenders’ Counsel
• Monitor and ensure compliance with project financing covenants
• Provide legal opinions to senior management on the impact of key clauses in the contracts
• Keep abreast of the legal framework in Singapore, particularly legal developments that affect the energy industry in Singapore, and ensure compliance with relevant laws and regulations
• Ensure the implementation of a robust contract management system
• Participate in settlement discussions during the dispute resolution process with vendors

Governance:

• Assist the Board in legal issues and advise on governance matters

External:

• Liaise with external law firms where necessary
